Job Tasks & Responsibilities
Shape and Lead Corporate Governance Strategy
a) Establish and continuously refine RC’s corporate governance structure, policies and procedures to drive strategic alignment with the organization's vision and objectives.
b) Enable High-Impact Board Operations and ensure the smooth functioning of the Board of Governance and its committees by leading the coordination of meetings, agendas, strategic discussions, and decision documentation.
c) Provide strategic oversight for compliance with the organization's Constitution, as well as all applicable laws, regulations, and industry standards, ensuring alignment with governance best practices and organizational integrity.
d) Lead grant management at the organizational level by collaborating with relevant units and departments to develop, review, and submit high-quality, impactful proposals. Act as the primary liaison with grantmakers to ensure timeliness, effectiveness, and compliance in all reporting and communication.
e) Provide oversight to the execution of all agreements the organisation enters into, which could include funding agreements, service agreements, partnership agreements, MOUs, and commercial agreements
f) Undertake the management of extraordinary affairs which may include matters relating to whistleblowing, internal inquiry, and legal
g) Maintain and oversee the development, accessibility, and preservation of key knowledge assets and strategic documentation within the Executive Director's Office, ensuring institutional knowledge is effectively managed and leveraged.
h) Assume the role of Data Protection Officer to provide strategic leadership in data protection practices across the organization, ensuring compliance with data privacy regulations and fostering a culture of accountability and ethical data management.
Compliance Management
a) Stay abreast of all relevant legislation, regulations, and industry standards applicable to the non-profit sector
b) Develop and implement compliance policies, procedures and training programs to ensure organizational adherence
c) Serve as the primary point of contact for regulatory bodies, auditors and other external compliance stakeholders
d) Monitor compliance performance, identify gaps, and drive remedial actions to maintain a robust control environment
Strategic and Administrative Support
a) Oversee Strategic Projects as assigned by the Executive Director, ensuring timely and successful execution.
b) Prepare reports, presentations, and other key materials to support decision-making and stakeholder engagement.
c) Work closely with Advocacy, Community and Engagement team to maintain positive relationships with external stakeholders such as donors, partners and regulatory authorities.
Qualifications and Experience
- Education: Bachelor’s degree in Nonprofit Management, Business Administration, Public Administration, or a related field. A Master’s degree is a plus.
- Experience: Minimum of 8 years of experience in a similar role, preferably within a nonprofit organization.
- Thorough understanding of corporate governance principles, risk management frameworks, and compliance regulations.
